Terms of Service

By accessing or using CargoRidge's platform and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site and our services. These Terms constitute a legally binding agreement between you and CargoRidge Inc. ("CargoRidge", "we", "us", or "our"). CargoRidge operates an AI-powered ocean freight platform that facilitates quoting, booking, tracking, and managing international ocean freight shipments.

CargoRidge is a freight forwarding Software-as-a-Service (SaaS) platform. We provide technology that connects shippers with ocean freight carriers including CMA CGM, MSC, and Maersk. Our platform offers: • Multi-carrier instant quoting and rate comparison • Shipment booking and management • Real-time shipment tracking and visibility • Automated customs documentation and compliance • AI-powered shipping assistant (Copilot) • Billing, invoicing, and subscription management • Analytics, reporting, and carbon emissions tracking Important: CargoRidge is a technology platform, not a freight carrier. We facilitate connections between shippers and carriers but do not physically transport cargo. All shipping services are provided by third-party ocean carriers subject to their own terms, conditions, and bills of lading.

You must be at least 18 years old and capable of entering into legally binding contracts to use our Service. By registering for an account, you represent and warrant that: • All registration information you submit is truthful, accurate, and complete • You will maintain the accuracy of such information • You are authorized to enter into this agreement on behalf of your organization (if applicable) • You will keep your account credentials confidential and not share them with unauthorized persons You are responsible for all activities that occur under your account. Notify us immediately at legal@cargoridge.com of any unauthorized use of your account. Each account is associated with a tenant organization. You must not attempt to access data belonging to other tenants or organizations on the platform.

Quoting: Quotes generated through our platform are based on information you provide, subject to carrier availability and acceptance, valid for the period specified (typically 7-14 days), and not guaranteed until confirmed by the carrier. Rates may vary based on surcharges, fuel adjustments, and market conditions. Booking: By submitting a booking request, you represent that all shipment information is accurate, accept the quoted price and terms, authorize us to facilitate the booking with the carrier, and agree to pay all applicable fees. Bookings are subject to carrier acceptance. Tracking: Shipment tracking information is provided by carriers and may experience delays. CargoRidge does not guarantee the accuracy or timeliness of tracking data. You agree NOT to: • Provide false or misleading shipment information • Ship prohibited, illegal, or hazardous materials without proper documentation • Violate any applicable laws, regulations, or export controls • Use the Service to defraud or deceive any party • Interfere with or disrupt the Service or servers • Access the Service through automated means without permission • Reverse engineer or attempt to extract source code

Subscription Billing: CargoRidge offers subscription plans (Free, Professional, Enterprise) with varying features and usage limits. Paid subscriptions are billed monthly or annually as selected. You authorize CargoRidge to charge your payment method for recurring subscription fees. Invoice Payment: Shipping charges, carrier fees, surcharges, duties, and taxes are invoiced separately from platform subscription fees. Payment terms are net 30 days unless otherwise agreed in writing. You agree to: • Provide valid payment information • Pay all charges incurred under your account • Pay any applicable taxes, duties, or surcharges • Authorize us to charge your payment method for all fees Late Payment: Late payments may result in service suspension or termination, interest charges at the maximum rate permitted by law, collection agency referral, or legal action to recover amounts owed. Refunds: Platform subscription fees are non-refundable except as required by applicable law. Carrier-related refunds are subject to the carrier's refund policy.

CargoRidge is a technology platform, not a carrier or freight forwarder. TO THE MAXIMUM EXTENT PERMITTED BY LAW: CargoRidge is not liable for: • Loss, damage, or delay to shipments (this is the carrier's responsibility under their bill of lading) • Indirect, incidental, consequential, or punitive damages • Lost profits, data, or business opportunities • Third-party carrier actions or omissions • Force majeure events (natural disasters, wars, strikes, pandemics, government actions) • Customs delays, inspections, or seizures Maximum Liability: Our total liability for any claim shall not exceed the platform subscription fees you paid to CargoRidge in the 12 months preceding the claim. Carrier Liability: Claims for loss or damage to cargo must be directed to the carrier in accordance with their terms and applicable law (including the Hague-Visby Rules, Hamburg Rules, or Rotterdam Rules as applicable). THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, software, algorithms, AI models, and design, are owned by CargoRidge or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose during your active subscription. You may not: • Copy, modify, or distribute our content without written permission • Use our trademarks without authorization • Create derivative works based on the Service • Remove copyright or proprietary notices • Use data mining, scraping, or similar data-gathering methods

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including for: • Violation of these Terms • Fraudulent or illegal activity • Non-payment of fees • Harm to our platform, other users, or our reputation Upon termination: • Your right to use the Service immediately ceases • You may request export of your data within 30 days • After 30 days, we may delete your account and content • Outstanding payment obligations remain due • Provisions that should reasonably survive (indemnification, limitation of liability, intellectual property) continue to apply You may terminate your account at any time through your account settings or by contacting support at legal@cargoridge.com.

Governing Law: These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles. Dispute Resolution: 1. Informal Resolution — Contact us at legal@cargoridge.com to attempt informal resolution 2. Mediation — If informal resolution fails, parties agree to mediation before pursuing litigation 3. Arbitration — Unresolved disputes shall be settled by binding arbitration in Vancouver, BC 4. Class Action Waiver — You agree to resolve disputes individually, not as part of a class action Exceptions: Either party may seek injunctive relief in court for intellectual property infringement or violation of confidentiality obligations. Severability: If any provision is found unenforceable, the remaining provisions remain in full effect. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and CargoRidge.
